SOUTHJERSEY.COM COMMUNITY HOME PAGES AGREEMENT SouthJersey.com would like to provide you with an area to promote your organization, reach out to the community, and post news and ideas. Before creating a SOUTHJERSEY.COM Live Community Home Page ("Home Page(s)"), however, please review this Agreement carefully as this is a legally binding document. All activity pertaining to your use of SOUTHJERSEY.COM's Community Home Page Service (the "Service") is governed by this Agreement, so you should read it carefully. Read the Conditions and Terms of Service and click on either the I Agree or the I Do Not Agree button at the bottom of the page. If you choose I Do Not Agree you will be unable to Register on this site (?). You may want to print this Agreement for easy reference in the future, and to distribute to those in your organization who may use the Service. Any changes made to this Agreement will be announced on this page from time to time. Continued use of the Service by you will constitute your acceptance and acknowledgement of any changes or revisions to this Agreement. SOUTHJERSEY.COM does not discriminate based on sex, age, gender, sexual orientation, ethnicity, culture, religion or socio-economic status. 1. Use of the SOUTHJERSEY.COM Live Community Page Service is available free of charge from SOUTHJERSEY.COM, exclusive of Internet access or other telecommunications fees, or other expenses you may incur from other providers. 2. Non-profit, volunteer, and community groups based in Southern New Jersey are eligible to use the SOUTHJERSEY.COM Live Build Your Own Home Page tool and to enter information into related directories. 3. Organizations may have more than one SOUTHJERSEY.COM Live Community Home Page area if they wish to create sites for subgroups (i.e., a site for the local Y and a site for the after school program at the local Y), but they may not have more than one site per group or subgroup (i.e., you may not have two persons operating home pages for the same after school program). 4. When you create a site, you will receive a user name and a password to that site which will control access to those pages, however is not a guaranty of exclusive access or confidentiality. You must be authorized by your organization to participate in this program and you must have its permission to use its name. SOUTHJERSEY.COM Live assumes no responsibility/liability for any unauthorized use of this Service. 5. The creation, maintenance, and content of all Community Home Pages are the responsibility of those who create and post them. The opinions and views expressed on the community pages do not necessarily reflect those of SOUTHJERSEY.COM Live, and SOUTHJERSEY.COM Live does not endorse them. 6. Users may submit any complaints that Home Pages are in violation of this Agreement; please submit such complaints to ads@southjersey.com 7. SOUTHJERSEY.COM reserves the right to post advertising in the form of banners or otherwise on the Home Pages. Users hereby authorize SOUTHJERSEY.COM to post advertising in the form of banners and agree that the content, location, size and rotation frequency of which shall be determined in SOUTHJERSEY.COM's sole discretion. Users will not be entitled to receive any compensation for revenues collected or other benefits received by SOUTHJERSEY.COM Live for such advertising banners. 8. You may not make any representation on the Home Pages or in any other materials in any form of media that SOUTHJERSEY.COM Live endorses the content within your Home Pages, or your organization, in any way whatsoever. 9. Children are strictly prohibited from disclosing personally identifiable information (name, phone number, address, e-mail address, etc.) about themselves on the Home Pages. 10. In consideration for your use of the service, you hereby give SOUTHJERSEY.COM the right to use your name, or home pages, or portions thereof, for advertising, publicity and/or editorial purposes without any further compensation for the same. 11. When using the service you are prohibited from and SHALL NOT: - Display images or publish text that contain pornographic or sexually suggestive or explicit material of any kind; - Use any obscene, indecent, or offensive language, including within your membership name or directory listing, or place on the Service any materials that are abusive, harassing, defamatory, libelous, hateful, racist or illegal; - Promote or provide instructions or information about illegal activities or promote physical harm or injury against any individual or group; - Commit any acts of infringement against any other party such as copyright, patent, trade secret or any other intellectual property infringement. You further agree not to violate any third party privacy and proprietary rights and you agree to indemnify, defend and hold harmless SOUTHJERSEY.COM for any damages related thereto; - Offer links to pirated computer software programs, make available tools that can be used for no other purpose other than for "cracking" (i.e., removing copyright protection from software), or make available serial numbers for software which can be used to illegally validate or register software; - Display materials not appropriate for or that exploits children; - Display advertising/sponsorship banners of any kind; - Promote or solicit for participation in multilevel marketing or pyramid schemes; - Conduct or display information on illegal raffles, sweepstakes or contests of any kind or on any such activity that requires a fee to enter; - Publish URLs and/or hyperlinks to other sites that violate the provisions of this Agreement; and - "spam" Internet users to promote your pages. - Display material related to political campaigns for any candidate, proposition, initiative, etc. 12. SOUTHJERSEY.COM may, but undertakes no obligation to, review the contents of the Home Pages. If you are in violation of this Agreement for any reason, or if your Home Pages are or become otherwise unacceptable as SOUTHJERSEY.COM may determine in its sole discretion, your Home Pages, or any portion thereof, may be removed without warning, and your access to the Service may be terminated in SOUTHJERSEY.COM sole and absolute discretion. 13. You agree that the SOUTHJERSEY.COM is not responsible, and shall have no liability to you, with respect to any information or materials posted by others, including defamatory, offensive or illicit material. You hereby covenant not to sue and release and forever discharge SOUTHJERSEY.COM from any such cause of action. 14. You agree to indemnify and defend, in its discretion, SOUTHJERSEY.COM and its owners, directors, shareholders, members, partners, affiliates, employees, agents and representatives, and to hold them harmless, from any and all claims and liabilities (including reasonable attorneys fees) which may arise from your Home Pages, from your unauthorized use of material obtained through the Service, from your breach or alleged breach of this Agreement, or from any such acts arising from your use of the Service. 15. SOUTHJERSEY.COM reserves the right, in its sole and absolute discretion, to terminate SOUTHJERSEY.COM's Community Home Page Service as well as User's access to the Home Page(s) without notice or cause. 16. DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY: YOU ACKNOWLEDGE THAT YOU ARE USING THE SERVICE AT YOUR OWN RISK. THE SERVICE IS PROVIDED "AS IS", AND SOUTHJERSEY.COM AND ITS AFFILIATES HEREBY EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF ACCURACY, RELIABILITY, TITLE, MERCHANTABILITY, NON INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER WARRANTY, CONDITION, GUARANTEE OR REPRESENTATION, WHETHER ORAL, IN WRITING OR IN ELECTRONIC FORM, INCLUDING BUT NOT LIMITED TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION CONTAINED THEREIN OR PROVIDED BY THE SERVICE. SOUTHJERSEY.COM AND ITS AFFILIATES DO NOT REPRESENT OR WARRANT THAT ACCESS TO THE SERVICE WILL BE UNINTERRUPTED OR THAT THERE WILL BE NO FAILURES, ERRORS OR OMISSIONS OR LOSS OF TRANSMITTED INFORMATION, OR THAT NO VIRUSES WILL BE TRANSMITTED ON THE SERVICE. SOUTHJERSEY.COM AND ITS AFFILIATES SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COMPENSATORY OR PUNITIVE DAMAGES ALLEGEDLY SUSTAINED ARISING OUT OF YOUR ACCESS TO OR INABILITY TO ACCESS THE SERVICE, INCLUDING FOR VIRUSES ALLEGED TO HAVE BEEN OBTAINED FROM THE SERVICE, YOUR USE OF OR RELIANCE ON THE SERVICE OR ANY OF THE INFORMATION OR MATERIALS AVAILABLE ON THE SERVICE, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. You agree that this Agreement, for all purposes, shall be governed and construed in accordance with the laws of the State of New Jersey applicable to contracts to be wholly performed therein, and any action based on or alleging a breach of this Agreement must be brought in a state or federal court in New Jersey. In addition, you agree to submit to the personal jurisdiction and venue of such courts. 18. This Agreement is the complete and entire agreement between the parties governing the Service, and supersedes any prior agreement pertaining to the Service, whether written or oral.
